Go Teach AUS Pty Ltd – Licensing Terms & Conditions

These Licensing Terms & Conditions (“Terms”) govern the access and use of educational content and digital resources (“Resources”) provided by Go Teach AUS Pty Ltd (ACN 687 810 519) (“Go Teach Australia”, “we”, “our”, or “us”). These Terms form a binding agreement between Go Teach Australia and the Licensee’s School (“you”, “your”, or “the Licensee’s School”) upon purchase or activation of a resource subscription or portal account.

By accessing our portal or using our Resources, the Licensee’s School agrees to be bound by these Terms. If you do not accept these Terms, you must not access or use any Go Teach Australia content or services.

1. Definitions & Interpretation

In these Terms:

  • "Go Teach Australia" refers to Go Teach AUS Pty Ltd (ACN 687 810 519).
  • "Resources" means all educational materials provided by Go Teach Australia including, but not limited to, teaching presentations, student workbooks, unit plans, assessments, curriculum maps, and portal-based content.
  • "Portal" means the secure online platform provided by Go Teach Australia for licensed users to access digital Resources.
  • "Subscription Period" means the defined period of time in which the Licensee’s School has valid access to the Resources, as outlined in the invoice or contract.
  • "Teaching Staff" means employees or contractors engaged by the Licensee’s School to deliver educational content to enrolled students.
  • "Licensee’s School" means the specific school campus listed in the invoice or licensing agreement. Access to and use of the Resources is strictly limited to that individual school site. Use across multiple campuses, schools, or within a school network is prohibited unless explicitly approved in writing by Go Teach Australia.
  • The singular includes the plural and vice versa. Headings are for convenience only and do not affect interpretation.

2. Grant of Licence

Upon full payment of the applicable licence fee, Go Teach Australia grants the Licensee’s School a non-exclusive, non-transferable, revocable licence to access and use the Resources solely for internal educational purposes at the Licensee’s School during the Subscription Period.

This licence does not confer ownership or the right to distribute content externally.

3. Permitted Use

The Licensee’s School may:

  • Use the Resources within the Subscription Period for delivery to students at the licensed year levels and subjects.
  • Provide access to the Resources to Teaching Staff employed at the Licensee’s School.
  • Store Resources on internal school systems (e.g., Compass, Canvas, Google Drive), provided access is restricted to Teaching Staff and not used or stored beyond the Subscription Period.
  • Modify editable files for school-specific use only, provided they are not shared outside the Licensee’s School or beyond the Subscription Period.

4. Portal Access

  • The Licensee’s School will be provided with Portal access upon activation of the licence.
  • Portal access must be limited to authorised Teaching Staff only.
  • Login credentials must not be shared with other schools, campuses, or third parties.
  • The Licensee’s School is responsible for managing user access, including removing access for staff who leave the school.
  • Go Teach Australia reserves the right to monitor portal activity to ensure compliance.
  • Portal access automatically terminates at the end of the Subscription Period unless renewed.

5. Prohibited Use

The Licensee’s School must not:

  • Share, reproduce, transmit, sublicense, or distribute Resources outside its own staff or campus.
  • Provide access to Resources to other schools, school networks, organisations, or individuals not covered by the licence.
  • Upload Resources to public-facing platforms, websites, or shared third-party systems.
  • Use or retain the Resources beyond the Subscription Period unless a renewal is confirmed.
  • Attempt to copy, extract, or repackage Go Teach Australia content for redistribution or resale.

6. Intellectual Property

All content remains the sole property of Go Teach AUS Pty Ltd. The Licensee’s School is granted a limited-use licence for the Subscription Period only. No rights to ownership or redistribution are granted. All copyright, branding, and content structure must remain intact.

7. Term and Renewal

Licences are valid only for the Subscription Period set out in the invoice or agreement. Upon expiry, all access to the Portal and Resources must cease, and all stored copies must be deleted from internal systems unless a renewal has been confirmed in writing.

8. Breach and Termination

Go Teach Australia reserves the right to suspend or terminate access without notice if:

  • The Licensee’s School breaches any clause of these Terms;
  • Payment is not received in accordance with the invoice terms;
  • Login credentials or content are shared in breach of this agreement.

In the event of breach or unauthorised use, Go Teach Australia reserves the right to pursue legal action, including damages and injunctive relief. No refunds will be issued if access is terminated due to breach.

9. Limitation of Liability

To the fullest extent permitted by law, Go Teach AUS Pty Ltd is not liable for any indirect, incidental, or consequential loss arising from use of the Resources or Portal. Use of the Resources is at the Licensee’s School’s own risk and discretion.

10. Amendments

We may update these Terms at any time. Updated terms will be made available at www.goteachaustralia.com.au. Continued use of the Portal or Resources constitutes acceptance of the revised Terms.

11. Governing Law

These Terms are governed by the laws of Queensland, Australia. Any disputes arising under this agreement are subject to the exclusive jurisdiction of the courts of Queensland.

12. Use of School Name and Logo

By entering into this licensing agreement, the Licensee’s School grants Go Teach AUS Pty Ltd permission to use its school logo, name, and branding elements for the following purposes:

a. Portal and Resource Branding

Go Teach Australia may display the Licensee’s School name and logo within the licensed Portal and on related teaching resources to provide a personalised and professional user experience during the Subscription Period.

b. Marketing and Promotional Use

Go Teach Australia may use the Licensee’s School name and logo in marketing materials, promotional content, and client lists (including but not limited to websites, printed brochures, digital publications, and social media) for the purpose of identifying the Licensee’s School as a participating or licensed client.

If the Licensee’s School wishes to opt out of promotional use, a written request may be submitted to Go Teach Australia at any time. Upon receipt, we will remove branding from future marketing materials where reasonably practical.
